Terms of Service
Version 1.0, effective 3 November 2026
These terms are a contract between P3 Technologies Ltd (company number 17180916), registered in England and Wales ("we", "us", "DulySign") and the business that signs up to DulySign ("you", "the Customer"). By creating an account or using DulySign you accept these terms on behalf of your business. If you don't have authority to do that, don't sign up.
1. What DulySign is
1.1DulySign is an online service for sending documents for electronic signature, checking signers with a one time code by text or email, and recording an audit trail and certificate of completion for each document ("the Service").
1.2The Service is for business use only. You are not a consumer when you use it.
1.3DulySign is suitable for everyday documents that can lawfully be signed electronically. It is not suitable for deeds, documents that must be witnessed, documents that must be registered with a wet signature, wills, or anything else where the law or a third party requires a different form of signature. You are responsible for deciding whether a document can be signed using DulySign.
2. Your account
2.1You must give us accurate details when you sign up and keep them up to date.
2.2Each person who uses DulySign must have their own login. Logins must not be shared. You are responsible for everything done under your account and for making sure your users follow these terms.
2.3Tell us straight away at hello@dulysign.co.uk if you think someone has accessed your account without permission.
3. Price and payment
3.1The Service costs £19.99 a month or £199 a year, plus VAT if it applies. This covers unlimited users and unlimited documents, subject to fair use under clause 4.
3.2We collect payment by Direct Debit through GoCardless, in advance, on the date shown in your account. Annual plans are paid once a year in advance.
3.3We may change the price by giving you at least 30 days' notice by email. The new price applies from your next billing date after the notice ends. If you don't agree, you can cancel before then.
3.4If a payment fails we will tell you and try again. If it is still unpaid 14 days after the due date we may pause sending until it is paid. Documents already sent can still be signed while sending is paused.
4. Fair use
4.1Unlimited means normal use by your business. It does not cover bulk or automated sending, reselling the Service, sending on behalf of other businesses, or any use that puts unusual strain on the Service.
4.2Text message codes are included under fair use. If your text message use is far above that of a typical customer, we will contact you first and agree a way forward before we restrict anything.
5. Free trial
5.1We may offer a free trial. At the end of the trial you will need to set up a Direct Debit to keep sending. If you don't, your account stays open for you to download your documents but you won't be able to send new ones.
6. Your responsibilities
6.1You must only send documents that you have the right to send, to people you have a lawful reason to contact.
6.2You must not use DulySign to send anything unlawful, misleading, abusive, or that infringes anyone's rights, or to try to get round the identity checks.
6.3You are responsible for the content of your documents and for checking the correct document has been sent to the correct person.
6.4You must keep your own copies of signed documents if you need them for longer than we keep them under clause 9.
7. Our responsibilities
7.1We will provide the Service with reasonable skill and care and aim to keep it available at all times, apart from planned maintenance, which we will try to do outside UK working hours.
7.2We keep the audit trail for each document in a form that cannot be edited, and seal the certificate of completion only after checking that the audit trail is intact.
7.3We do not give legal advice. Nothing in the Service tells you whether a particular document is legally valid when signed electronically.
8. Data protection
8.1You are the controller of the personal data in the documents you send and about the people who sign them. We process that data as your processor under the DulySign Data Processing Agreement, which forms part of these terms.
8.2We are the controller of the data about you and your users that we need to run your account and take payment. Our Privacy Notice explains how we use it.
9. Keeping and deleting documents
9.1We keep your documents, signed copies and audit trails while your account is open.
9.2If you cancel, your account stays readable for 90 days so you can download what you need. After that we delete your documents and personal data from the live service, and from backups within a further 35 days, unless the law requires us to keep it.
10. Cancelling
10.1You can cancel at any time from your account or by emailing hello@dulysign.co.uk. Monthly plans end at the end of the month you have paid for. Annual plans end at the end of the year you have paid for, and we don't refund part years unless the law requires it.
10.2We may suspend or close your account straight away if you seriously break these terms, for example by using DulySign for fraud, or if we must do so by law. Otherwise we will give you at least 30 days' notice before closing your account.
11. Liability
11.1Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
11.2We are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
11.3We are not liable for losses caused by the content of your documents, by you sending a document to the wrong person, or by a document being unsuitable for electronic signature.
11.4Our total liability to you in any 12 month period is limited to the fees you paid us in that period.
12. Intellectual property
12.1We own DulySign, its software and its brand. You own your documents and your branding. You give us permission to use your documents and branding only to provide the Service to you.
13. Changes to these terms
13.1We may update these terms. We will email you at least 30 days before a change that affects you materially. If you keep using DulySign after the change takes effect, the new terms apply.
14. General
14.1These terms, the Data Processing Agreement and anything referred to in them are the whole agreement between us about the Service.
14.2If any part of these terms is found to be unenforceable, the rest stays in force.
14.3Neither of us is responsible for delays caused by events outside our reasonable control.
14.4These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
